These Terms and Conditions ("Terms") govern your use of the Spectrix application for macOS (the "App") provided by Matrix Productions ("we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the App on any Apple-branded device that you own or control, in accordance with the Apple Media Services Terms and Conditions and the Usage Rules set forth therein.
This licence does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time, except as permitted by the Apple Media Services Terms and Conditions.
2. Intellectual Property
The App, including all content, features, functionality, design, graphics, and underlying source code, is and shall remain the exclusive property of Matrix Productions and is protected by copyright, trademark, and other intellectual property laws of England and Wales and international treaties.
You may not:
- Copy, modify, or create derivative works based on the App;
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App;
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices;
- Sell, resell, sublicence, rent, lease, or lend the App to any third party.
3. Acceptable Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App:
- In any way that breaches any applicable local, national, or international law or regulation;
- To record, intercept, or monitor audio communications without the knowledge and consent of all parties involved, where required by applicable law;
- In any way that could damage, disable, or impair the App or interfere with any other party's use of the App.
4. Audio Analysis Disclaimer
The App is designed as a tool to assist with audio frequency analysis. While we strive for accuracy, the measurements provided by the App are intended for informational and professional guidance purposes only. They should not be relied upon as the sole basis for decisions relating to hearing safety, regulatory compliance, or any context where certified measurement equipment is required.
The accuracy of measurements depends on factors outside our control, including but not limited to the quality of your audio input device, environmental conditions, and system configuration.
5. No Warranty
To the fullest extent permitted by applicable law, the App is provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms shall exclude or limit any warranty implied by law that it would be unlawful to exclude or limit. In particular, nothing in these Terms shall affect your statutory rights as a consumer under the Consumer Rights Act 2015.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the App;
- Our total aggregate liability for all claims arising out of or relating to the App shall not exceed the amount you paid for the App;
- Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
7. Mac App Store
You acknowledge that these Terms are between you and Matrix Productions only, not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. Your use of the App must comply with the App Store Terms of Service. In the event of any conflict between these Terms and the Apple Media Services Terms and Conditions with respect to your use of the App, the Apple Media Services Terms and Conditions shall prevail.
Apple has no obligation to provide maintenance or support services for the App. To the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the App. Any claims relating to the App, including product liability claims, claims that the App fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection or similar legislation, are the responsibility of Matrix Productions, not Apple.
8. Updates
We may from time to time issue updates to the App. These may be delivered automatically through the Mac App Store. Updates may modify or remove features. Continued use of the App after an update constitutes acceptance of any changes.
9. Termination
We may terminate or suspend your licence to use the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will cease immediately and you must delete all copies of the App from your devices.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
13. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Matrix Productions regarding your use of the App and supersede all prior agreements and understandings.
